THIS INDEPENDENT CONTRACTOR AGREEMENT (“Agreement”) dated June 6, 2025 is made between Lesa Chang of Allibella Property (the “Company”), and Guylene Solon (the “Freelancer”) registered in New York City, United States EIN #465625473, Jamaica TRN #136429467, for the purpose of setting forth the exclusive terms and conditions by which Company desires to acquire Freelancer’s services. In consideration of the mutual obligations specified in this Agreement, the parties, intending to be legally bound hereby, agree to the following:
1. Services. Company retains Freelancer, and Guylene Solon agrees to perform for the company, a professional photoshoot for vacation rental property at Fairway Estates, Drax hall, Jamaica set forth in Exhibit A to this Agreement (the “Services”).
2. Consideration / Compensation:
Air Photo Vacation Rental Photo Session - based on details provided in Exhibit A. In exchange for the full, prompt, and satisfactory performance of photo session to be rendered to the Company. Company shall provide Freelancer a full payment for photos in digital format. Estimated date of completion, 24hrs from scheduled shoot *Additional cost will be discussed and billed if requests are outside the agreed scope in Exhibit A.
(b)Company shall not withhold any sums or payments made to Guylene Solon for social security or other federal, state, or local tax liabilities or contributions, and all withholdings, liabilities, and contributions shall be solely Guylene Solon’s responsibility. Guylene Solon further understands and agrees that the Services are not covered under the unemployment compensation laws and are not intended to be covered by workers’ compensation laws.
3. Nondisclosure:
(a) Guylene Solon acknowledges that the Confidential Information is Company's sole, exclusive and extremely valuable property. Accordingly, Guylene Solon agrees to segregate all Confidential Information from information of other companies and agrees not to reproduce any Confidential Information without Company's prior written consent, not to use the Confidential Information except in the performance of this Agreement, and not to divulge all or any part of the Confidential Information in any form to any third party, either during or after the term of this Agreement, except to Company employees and Freelancer Employees who need to know such Confidential Information in order to perform the Services.
4. Termination:
This Agreement shall be effective on the date hereof and shall continue until terminated by either party upon 2 business days written notice or automatically on photoshoot completion and delivery of digital photos. Payment is final. No refund will be provided. Photo session can be rescheduled anytime in a 30 day period from payment.
*The exception being that if freelancer, Guylene Solon became ill and could not complete the photo session on the agreed date, Company would either receive a full refund, or the photo session can be rescheduled. .
Any changes to the photo session can be discussed and scheduled subject to freelancers schedule.
5. Independent Contractor:
(a)Company and Guylene Solon expressly agree and understand that Guylene Solon is an independent contractor and nothing in this Agreement shall be construed in any way or manner, to create between them a relationship of employer and employee, principal and agent, partners or any other relationship other than that of independent parties contracting with each other solely for the purpose of carrying out the provisions of the Agreement. Accordingly, Guylene Solon acknowledges that she is not eligible for any Company benefits, including, but not limited to, health insurance, retirement plans or stock option plans. Guylene Solon is not the agent of Company and is not authorized and shall not have the power or authority to bind Company or incur any liability or obligation, or act on behalf of Company. At no time shall Guylene Solon represent that it is an agent of Company, or that any of the views, advice, statements and/or information that may be provided while performing the Services are those of Company.
6. General:
(a) This Agreement does not create an obligation on Company to continue to retain Guylene Solon beyond this Agreement’s termination. This Agreement of this photo session may not be changed unless mutually agreed upon in writing by both parties.
(b) This Agreement contains the entire agreement between the parties hereto with respect to the transactions contemplated herein. The language of all parts of this Agreement will in all cases be construed as a whole in accordance with its fair meaning and not for or against either party.
(e) All notices provided for in this Agreement shall be given in writing and shall be effective when either served by, electronic facsimile transmission, email, addressed to the parties at their respective email addresses as set forth at the beginning of this Agreement, or to such other email address or addresses as either party may later specify by written notice to the other.
IN WITNESS WHEREOF, the parties hereto have executed this Independent Contractor Agreement.

Outdoor and indoor pictures
Closeups and staging of amenities
